Agreement to Terms
By accessing or using Uchi Flow ("Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.
Description of Service
Uchi Flow is a workflow automation platform that enables users to connect data sources, run AI-powered analysis, and automate reporting tasks. The Service includes web-based tools for creating, managing, and executing automated workflows.
User Accounts
When you create an account, you must provide accurate and complete information. You are responsible for:
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring your contact information remains current
We reserve the right to suspend or terminate accounts that violate these terms or remain inactive for extended periods.
Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service or its infrastructure
- Scrape, mine, or extract data without permission
- Use the Service for competitive analysis or to build competing products
- Resell or redistribute the Service without authorization
Third-Party Integrations
The Service allows you to connect third-party services (such as Google Analytics, Search Console, Stripe, and Slack). By connecting these services:
- You authorize us to access and process data from those services as necessary to provide the Service
- You are responsible for compliance with the third party's terms of service
- You acknowledge that we are not responsible for the availability or functionality of third-party services
AI and Automated Processing
Our Service uses artificial intelligence models to analyze data and generate insights. You acknowledge that:
- AI-generated outputs are provided for informational purposes and may contain errors
- You are responsible for reviewing and validating AI outputs before taking action
- We do not guarantee the accuracy, completeness, or suitability of AI-generated content
- AI model behavior may change as providers update their models
Subscription and Billing
Free Tier
The free tier provides limited access to the Service. We may modify or discontinue the free tier at any time.
Paid Subscriptions
Paid plans are billed in advance on a monthly or annual basis. Subscriptions automatically renew unless cancelled before the renewal date. Refunds are handled on a case-by-case basis.
Usage Limits
Each plan includes specific usage limits. If you exceed your limits, workflows will pause until the next billing cycle or until you upgrade your plan.
Intellectual Property
Our Property
The Service, including its original content, features, and functionality, is owned by Uchi Flow and protected by copyright, trademark, and other intellectual property laws.
Your Content
You retain ownership of any content, data, or materials you upload to the Service. By using the Service, you grant us a license to process your content as necessary to provide the Service.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UCHI FLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE.
Our total liability for any claims arising from these terms or your use of the Service shall not exceed the amount you paid us in the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Uchi Flow and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any rights of another party.
Termination
We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these terms or is harmful to other users, us, or third parties.
Upon termination, your right to use the Service will cease immediately. Provisions of these terms that by their nature should survive termination shall survive.
Changes to Terms
We reserve the right to modify these terms at any time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, providing additional notice. Your continued use of the Service after changes constitutes acceptance of the modified terms.
Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
